The PC&T Process
Phase II
During the term hereof, PC&T will evaluate the Client Technology to determine the opportunities for licensing or sale of such Client Technology, evaluate potential licensees or transferees and determine the target license fees or purchase price. Thereupon, PC&T shall contact potential licensees to solicit their interest in the Client Technology. PC&T shall, to the best of their efforts, perform its duties according to the following schedule:
Stage Activity Deliverables Time Frame
1- Strategy development Provide a written summary of licensing strategy. Months 1-2
2- Pre-Marketing Term sheets approved by the Client, presentation materials and a final list of target Strategic Licensees. Months 2-3
3- Marketing I Status report. Month 3-6
4- Marketing II Obtain and provide the Client with letters of interest from strategic licensees. Monthly informal status reports. Months 7-24
